Midstream gathering and processing company Atlas Pipeline Partners (NYSE: APL  ) recently announced a major acquisition related to the Eagle Ford Shale. The company is paying a billion dollars in cash in a deal to acquire privately held TEAK Midstream. With a deal this large its important to take a deeper look to see what it means to Atlas' investors.

With a market capitalization of $2.3 billion, the TEAK Midstream deal is a big one for Atlas. The company is using a $400 million secondary offering to fund the equity portion of the deal while it has committed bank financing to fund the rest of the cash required to close the transaction. Current investors are being diluted; however, overall the deal looks like a very good one for investors thanks to three very important�components.

One of the major benefits of this deal is that it gets Atlas a foothold in the Eagle Ford Shale. The Eagle Ford has seen amazing production growth over the past few years thanks to its liquids-rich characteristics and proximity to the energy markets along the Gulf of Mexico. Because of this, Atlas had been looking for an entry point into the Eagle Ford, which it has now found in TEAK. However, as important as access to the Eagle Ford's growth is to the company, its only part of the reason why this is a very solid acquisition.

    Although I have removed these three MLPs from my portfolio, I am still holding ARLP, Buckeye Partners (BPL), Plains All American (PAA), and Williams Partners. I am going to continue to hold these until I receive the K-1 forms next year, so that I can more carefully analyze the tax implications, and decide what to do with these other positions. I may decide that the higher yield of the MLPs might make it worth holding on to them, even though I would eventually have to pay some extra taxes.     Within the Dow, 26 of 30 components moved higher today, with all the winners led by Caterpillar (NYSE: CAT  ) , which gained 2.56% during the session. The move was a little unexpected, as there was relatively no company-specific news today. Volume was slightly higher than normal, with 7.8 million shares trading hands, while the average is only 6.7 million. The stock is down more than 4% on the year as concerns about the mining and construction industries worldwide have weighted on investors' minds. But with shares trading at just 11.5 times past earnings and 10.7 times future expected results, and with a current dividend yield of 2.9%, the stock seems extremely cheap.

    Caterpillar (NYSE: CAT  ) , down 1.1%
    For Caterpillar, the past two months have been quite volatile, with the stock having dropped about 10% only to recover nearly all of that lost ground more recently. Just before earnings, Caterpillar took a big hit when the bottom fell out of the gold market, as gold prices fell more than $140 in a single day. The impact of gold's decline on its mining equipment business could be huge, as miners struggling with much narrower margins will have less money to spend on capital expenditures for Caterpillar equipment. Yet since then, macroeconomic moves to bolster world growth, including rate cuts from the European and Australian central banks, have given investors hope that commodities will bounce back and that mining activity will resume. Now, Caterpillar just needs to see that turn into a reversal of horrendous sales trends in recent months.

    China slows further
    The International Monetary Fund cut its Chinese growth projections for 2013 and 2014 today, now expecting the world's second-largest economy to grow by 7.75% per year after earlier projecting 8% growth this year and 8.2% next year. China's slowdown from its previous double-digit-percentage economic growth has hurt companies counting on the developing economy to fuel sales. Industrials in particular have been hit hard: Major China manufacturing player Caterpillar (NYSE: CAT  ) saw its Asia-Pacific retail sales fall at least 20% in each of the last three months as reduced Chinese infrastructure spending hurts demand. Caterpillar's stock hasn't reacted badly to the news, however, with shares gaining 0.5% so far today to defy the Dow's drop.

Deere has fallen more than 5% despite beating estimates for its first-quarter results, as investors instead focused on a weakening sales forecast.     Another stock that's starting to trend within range of triggering a near-term breakout trade is Western Refining (WNR), a crude oil refiner and marketer of refined products. It also operates service stations and convenience stores. This stock is off to a decent start in 2013, with shares up 10.8%.

    If you look at the chart for Western Refining, you'll notice that this stock has been uptrending strong for the last month and change, with shares soaring higher from its low of $25.47 to its recent high of $32.09 a share. During that uptrend, shares of WNR have been consistently making higher lows and higher highs, which is bullish technical price action. This stock has also moved back above both its 50-day and 200-day moving averages, which is bullish. That move has now pushed shares of WNR within range of triggering a near-term breakout trade.

    Traders should now look for long-biased trades in WNR if it manages to break out above some near-term overhead resistance at $32.09 a share with high volume. Look for a sustained move or close above that level with volume that hits near or above its three-month average action of 1.96 million shares. If that breakout triggers soon, then WNR will set up to re-test or possibly take out its next major overhead resistance levels at $34 to $36.50 a share. Any high-volume move above $36.50 will then give WNR a chance to tag its 52-week high at $39.42 a share.

    Traders can look to buy WNR off any weakness to anticipate that breakout and simply use a stop that sits right below either its 200-day at $30.06 a share or its 50-day at $29.30 a share. One can also buy WNR off strength once it takes out that breakout level with volume and then simply use a stop that sits a comfortable percentage from your entry point.
